Subject to the terms of this Agreement, Superior IT Solutions Sdn Bhd (SIS) hereby grants to you, and you accept, a limited, nonexclusive, nontransferable license to install and use the software in machine-readable, object code form only and solely for your internal business purposes. You agree that you will not sell, assign, license, sublicense, transfer, pledge, lease, rent or share your rights under this License Agreement nor will you distribute copies of the software or any parts thereof. Rights not specifically granted herein, are specifically prohibited.

You acknowledge and agree that this License Agreement does not convey to you any interest in the software except for the limited right to use the software, and that all right, title, and interest in and to the software, including any and all associated intellectual property rights, are and shall remain with SIS or its third party licensors. You further acknowledge and agree that the software is a proprietary product of SIS and/or its licensors and is protected under applicable copyright law.

Software installed or downloaded from the SIS web site is provided 'as is' without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of fitness for a purpose, or the warranty of non-infringement. Without limiting the foregoing, the SIS makes no warranty that: (a) the software will meet your requirements, (b) the software will be uninterrupted, timely, secure or error-free, (c) the results that may be obtained from the use of the software will be effective, accurate or reliable, (d) the quality of the software will meet your expectations, (e) any errors in the software obtained from the SIS will be corrected.

Software and its documentation made available on the SIS: (a) could include technical or other mistakes, inaccuracies or typographical errors. The SIS may make changes to the software or documentation made available on its web site, (b) may be out of date, and the SIS makes no commitment to update such materials.

SIS assumes no responsibility for errors or ommissions in the software or documentation available from its web site.

In no event shall the SIS be liable to you or any third parties for any special, punitive, incidental, indirect or consequential damages of any kind, or any damages whatsoever, including, without limitation, those resulting from loss of use, data or profits, whether or not the SIS has been advised of the possibility of such damages, and on any theory of liability, arising out of or in connection with the use of this software.

The use of the software installed or downloaded through the SIS site is done at your own discretion and risk and with agreement that you will be solely responsible for any damage to your computer system or loss of data that results from such activities. No advice or information, whether oral or written, obtained by you from the SIS or from the SIS web site shall create any warranty for the software.

The software is on a subscription basis, your rights to use the software are limited to the subscription period. You may have the option to extend your subscription. If you extend your subscription, you may continue using the software until the end of your extended subscription period. See the software activation screens or other accompanying materials for subscription details. After the expiration of your subscription, most features of the software will stop running. At that time you can continue to open, view and print any documents you created with the software.

SIS may terminate this license in its sole discretion for, without limitation, the following actions or grounds: (a) abuse of the software or violation of any of these license terms, (b) failure to pay any invoice or bill issued by SIS to you, whether for license fees or services or other products or for expenses, (c) violation of any other agreement between you and SIS including without limitation teaming agreements or non disclosure agreements, (d) disparaging the software internally, to third parties or the public, or (e) attempting to build a competing product using frame tailoring, templates, or any other technology incorporated into the licensed software. In the event of termination for cause, all licensed materials including software and outputs must be returned to SIS. This right of termination is perpetual.

IF YOU DO NOT AGREE WITH THE TERMS OF THIS LICENSE YOU MUST REMOVE THE SOFTWARE FROM ANY DEVICE OWNED BY YOU AND IMMEDIATELY CEASE USING THE SOFTWARE.
